Just Eat Takeaway.com and Amazon enter into commercial agreement in the US

Just Eat Takeaway.com N.V. (LSE: JET, AMS: TKWY), hereinafter the “Company”, or together with its group companies “Just Eat Takeaway.com”, one of the world’s largest online food delivery marketplaces, has entered into a commercial agreement with Amazon.com Services LLC (“Amazon”) in the United States.

Starting today, Amazon Prime members in the United States can sign up for a free, one-year Grubhub+ membership and access unlimited $0 delivery fees from hundreds of thousands of restaurants on Grubhub throughout the year. In addition to $0 delivery on eligible orders, Grubhub+ members get access to member-only perks and rewards.

The agreement is expected to expand membership to Grubhub+, while having a neutral impact on Grubhub’s 2022 earnings and cash flow, and be earnings and cash flow accretive for Grubhub from 2023 onwards.

Key Terms

The commercial agreement automatically renews each year unless terminated by Amazon or Grubhub in accordance with the provisions of the commercial agreement. Under the commercial agreement, a subsidiary of Amazon will receive warrants (exercisable at a de minimis price) over 2% of Grubhub’s fully-diluted common equity. Amazon will also receive warrants (exercisable at a formula-based price) over up to a further 13% of Grubhub’s fully-diluted common equity, the vesting of which is subject to the satisfaction of certain performance conditions, principally the number of new consumers delivered through the commercial agreement. In certain circumstances the warrants can vest on an accelerated basis, in full or in part. Vested warrants may, in certain scenarios, be settled in cash or Company shares.

The commercial agreement with Amazon constitutes a Class 2 transaction under the UK Financial Conduct Authority Listing Rules. The gross assets of Grubhub as at 31 December 2021 were €6,521 million and the loss before tax for the 12 months ending 31 December 2021 was €403 million.

The Company, together with its advisors, continues to actively explore the partial or full sale of Grubhub. There can be no certainty that any agreement with any other parties regarding Grubhub will be reached or about the timing or terms of any such agreement(s). Grubhub’s ‘Serving the City’ Will Offer More Than 25,000 Meals to Communities in Need Across NYC

Bringing together local leaders, independent restaurants and community organizations, new program addresses recent surge in food insecurity

NEW YORK — Continued fallout from the pandemic and the rise in grocery prices due to inflation means more New Yorkers are facing food insecurity, and Grubhub’s Serving the City is partnering with members of the New York City Council to help address the need. Launching tomorrow, the program will run for at least 16 weeks and expects to deliver 25,000 meals to communities in need across each of the City Council’s 51 districts.

“Grubhub launched Serving the City to help address the surge in food insecurity which is up 36% citywide—and 46% among children,” said Adam DeWitt, Grubhub CEO. “And as with every community-first initiative, locking arms with local leaders helps ensure we maximize our impact by focusing on those who need it most. We’re off to an amazing start, and we can’t wait to roll this program out across the entire city as soon as possible.”

Tomorrow, at an event with Speaker Adrienne Adams (District 28), Serving the City will bring 500 meals from Unique Eats to two senior residences: Calvary Baptist Senior Housing (CALBAC) and Northeastern Towers Annex

“Food insecurity remains a challenge for many New Yorkers, including residents who live in District 28,” said Speaker Adrienne Adams. “Small businesses and restaurants are also struggling to recover from the pandemic, and need support from community partners. Last month, Grubhub kicked off a pilot of the program with Council Member Julie Menin (District 5), purchasing 500 meals from family-owned restaurant Mansion Diner and distributing them to area residents at The Stanley M. Isaacs Neighborhood Center. Additionally, in coordination with Council Member Majorie Velazquez (District 13), Grubhub purchased 500 meals from Havana Cafe that were distributed at the Throggs Neck Community Alliance

Over the next three months, Grubhub’s Serving the City will work with Council Members to help identify locations for meal distribution including housing authorities, senior centers and community organizations in their district. Local, independent restaurants will provide more than 500 meals at one or more distribution events per district. 

The COVID-19 pandemic and recent rise in grocery prices have increased food insecurity across the nation, impacting nearly 1.5 million New Yorkers, including one in four children.

Serving the City is the latest effort from Grubhub to help close the hunger gap. The company is a leading supporter of the Food Donation Improvement Act, which encourages companies to donate surplus food and grocery products to nonprofits by providing civil and criminal liability protection to food donors and food recovery organizations. Grubhub also partners with organizations fighting food insecurity, including Food Bank for NYC, Boys and Girls Clubs, and Rescuing Leftover Cuisine, a food rescue non-profit headquartered in New York City that purchases meals from minority and women-owned restaurants that are donated back into the community to food insecure families. Grubhub Community Fund grants to these and other related organizations totaled more than $2 million in 2021.

Grubhub and Cartken Partner to Bring Robot Delivery to College Campuses

Robot delivery will be available on Ohio State University’s campus this fall

CHICAGO and OAKLAND, Calif.June 13, 2022 /PRNewswire/ — Grubhub, the leading online and mobile food-ordering and delivery platform on college campuses, and Cartken, a technology startup that specializes in self-driving, AI-powered robotics and delivery operations, announced a partnership today to bring robot delivery to college campuses. This delivery was piloted at Ohio State University this spring, and a full roll out is expected when students return to campus this fall.

Grubhub partners with more than 250 college campuses across the United States to give students the ability to integrate meal plans directly into their Grubhub account and access restaurants both on- and off-campus for delivery and pickup. Cartken’s robots navigate pavements, crosswalks and pedestrian paths within the campus area without human guidance. The robots use Cartken’s artificial intelligence (AI) and camera-based navigation and mapping technology, which the company developed for small autonomous vehicles to safely operate around pedestrians. Human override remains an option if necessary – for instance when a path is blocked – guaranteeing reliable operation and minimizing delivery delays. Cartken’s robots operate at up to three miles per hour on campus and handle various weather conditions, including rain and snow.

Grants will be distributed to organizations supporting independent restaurants, closing the hunger gap, and creating new opportunities in the food and beverage industry. The news comes as part of the GCF’s broader announcement of $19.8 million in grants to 27 organizations across the country, with additional programs and new partnerships still to be announced in the months ahead.

For decades, companies have seen ever-increasing pressure to do more than deliver shareholder profits. Recent findings reported by Harvard Business School show that 95% of employees believe businesses should benefit all stakeholders—not just shareholders— including employees, customers, suppliers, and communities where they operate. 

Throughout my career, I’ve been extremely fortunate to work for some of the leading American brands, including their programs and initiatives to improve the communities they serve. The Walmart Foundation invested in programs that create economic opportunity, advance sustainability and equity and strengthen local communities. While at McDonald’s, I was able to work with the Ronald McDonald House Charities as our charity of choice and saw how they helped improve the health and well-being of children and their families. And during my time with Sprint, the company launched a massive program offering free devices and free internet service to unconnected students. After joining Grubhub almost one year ago, the opportunity to help further develop the company’s corporate giving – with greater strategic direction and measured impact – was a clear priority as our team grew.

Taking key learnings from existing partnerships, we’ve expanded our philanthropic efforts and evolved the way we partner with nonprofits to drive more meaningful, long-term change. So far this year, we have laid the groundwork to support programs and initiatives with 27 Grubhub Community Fund partners, supported by an expected $19.8 million in grants. This support will enable $11.3 million in restaurant grant programs. And, we’re not done yet. As we look to the second half of the year, new programs and partnerships are in the works that will launch in the coming months.

Fortunately, we are building on a strong foundation of corporate giving. Grubhub has a history of supporting independent restaurants, helping to eliminate food waste and fighting food insecurity in communities. The Grubhub Community Fund, with the support of our diners through our Donate the Change program, has enabled $21 million in grants to independent restaurants and provided 325,000 meals to food-insecure families. Additionally, Grubhub has given $500,000 in grants to drivers working to create meaningful change in their communities. In 2021 alone, the Grubhub Community Fund donated more than $25 million to over 23 charitable organizations. Looking back, it’s incredible to see how much has been achieved in just a few years since the Grubhub Community Fund launched. 

As our corporate giving continues to mature, we’re poised to make an even bigger impact supporting independent restaurants, closing the hunger gap and creating more opportunities in the food and beverage industry. Grubhub Launches Pay Card for Corporate Clients to Enhance Order Flexibility and Build Community for Office and Hybrid Workers

Food remains a way that companies drive culture, promote morale and foster connections among employees – in the office and at home

CHICAGO, May 3, 2022 /PRNewswire/ — Grubhub, a leading U.S. food-ordering and delivery marketplace, today announced it will be offering a corporate pay card to help drive orders to local restaurants and increase order flexibility for in-office and at-home employees. The new Grubhub Pay Card will allow employees working for companies that have a Grubhub Corporate Account to order on and off the Grubhub Marketplace with their allocated line of credit, meaning they can use it at any restaurant that takes debit and credit card payment.

With a Grubhub Corporate Account, employers are able to give employees a line of credit to be used to order meals. Employers can set a framework for when employees can use the credit to order. Some may set time or location guidelines for when employees can use the credit, while others give employees a daily or weekly credit they can use wherever they’re working, whether in the office or at home. Now with the pay card, employees have more flexibility with ordering options expanded beyond the Grubhub Marketplace.

The pay card builds on Grubhub’s existing Corporate Accounts offering where employers can allocate a line of credit to employees as a perk to drive morale and engagement or be used to cover meals for those that are working late or hosting business meetings. Employers have the ability to add funds, set budget limits and restrictions on purchase categories.

Restaurants on the Grubhub platform are not charged commissions on orders placed in-person with this card, and the pay card complements the company’s ongoing efforts to support restaurants – both on and off its marketplace. How Grubhub is Fighting Food Waste & Food Insecurity

While food insecurity is rapidly rising, the world is expected to waste 2.1 tons of food a year by 2030, according to Yale research. In the United States alone, $408 billion was spent on food in 2021 that was never eaten. That’s nearly a quarter of U.S. food going to waste instead of to those who need it.

Today, on Stop Food Waste Day, Grubhub is doubling down on its calls for Congress to pass the Food Donation Improvement Act (FDIA), which would strengthen existing laws for food donations, help prevent food waste, and provide relief directly to the millions of Americans who are experiencing food insecurity.

Alongside WW and other partners, Grubhub has been a leading backer of the Food Donation Improvement Act. Our vice president of government affairs, Amy Healy, recently joined Food Tank’s “Food Talk” podcast to discuss the role of the private sector in combating food insecurity – and why the government needs to make it easier for companies to donate food. 

As Amy explains, the Food Donation Improvement Act is an essential step toward bringing all businesses – not only large corporations, but also independent businesses, such as Grubhub’s restaurant partners – into the fight against food insecurity.

The Food Donation Improvement Act would build upon the Bill Emerson Good Samaritan Food Donation Act, which passed in 1996 to encourage companies to donate their surplus food and grocery products to nonprofits by providing civil and criminal liability protection to food donors and food recovery organizations. However, many food manufacturers, retailers, farmers, and restaurants still cite fear of liability. Expanding and clarifying existing liability protections for food donation is crucial to ensuring that companies can donate safe, quality foods, without a preventable concern about litigation.

Grubhub continues to meet with offices on both sides of the aisle to generate support for this legislation and to solicit additional cosponsors, with the hopes of the bill being included in upcoming relevant legislative packages.

We are also doing as much as we can right now to fight food insecurity and reduce waste, in hopes of inspiring our partners and competitors to do the same. Grubhub has donated millions to organizations like Rescuing Leftover Cuisine, a food rescue non-profit headquartered in New York City that is purchasing meals from minority and women-owned restaurants that are donated back into the community to food insecure families. We’ve also given to the MEANS Database, which with Grubhub’s donation is purchasing leftover food from restaurants in Chicago, Denver, Los Angeles, Las Vegas, Oakland, Philadelphia, Providence and San Francisco and donating it to underserved communities in need.

Grubhub Community Fund donations to these and other related organizations – including via our diners through our Donate the Change program – totaled more than $2 million in 2021, and we’ve recommitted to those partnerships for the year ahead.
